1. Introduction

This website (the “Site”) is operated by Mayfly Group Ltd (“Mayfly”, “we”, “us”, “our”). These Terms & Conditions (“Terms”) govern all use of the Site and of the PICSy software and data made available through it. By accessing or using the Site you agree to be bound by these Terms. If you do not accept them, you must not use the Site.

2. Definitions

  • “User” / “you” – any natural or legal person accessing the Site.
  • “PICSy” – our proprietary web-based software that displays demographic data, market analytics and other metrics relating to care-home projects.
  • “Content” – all text, graphics, data, software, reports, and other materials on or generated by the Site or PICSy.

3. Acceptance of Terms

By continuing to use the Site you warrant that (a) you are at least 18 years old, (b) you have authority to bind any business or organisation on whose behalf you use the Site, and (c) you will comply with these Terms and all applicable laws and regulations.

4. Use of the Site

  • The Site is provided for information purposes only. It is not intended to constitute professional, financial or investment advice.
  • You agree not to interfere with or disrupt the Site or servers or networks connected to the Site.
  • We may suspend, withdraw or restrict the availability of any part of the Site without notice.

5. Account Registration

Access to PICSy may require registration. You must keep login credentials confidential and are responsible for all activity under your account.

6. Intellectual-Property Rights

All Content is owned by Mayfly or its licensors and is protected by UK, EU and international IP laws. Except as expressly set out in these Terms, nothing grants you any right, title or interest in or to any IP rights.

7. Licence to Use PICSy

Subject to these Terms, Mayfly grants you a non-exclusive, non-transferable, revocable, limited licence to access and internally use PICSy solely for the purpose of assessing the feasibility of care-home projects that you are considering.

8. Prohibited Acts & Restrictions

  • You must not copy, reproduce, transmit, publish, display, distribute, sell, license, rent, modify, adapt, translate, create derivative works from, decompile, reverse-engineer or disassemble any part of PICSy or the Content without our prior written consent.
  • Data scraping, automated bulk extraction, or framing of the Site is strictly prohibited.
  • Content may not be shared with third parties or incorporated into other datasets, reports, marketing materials, investor presentations, or similar documents without express permission.

9. Data Accuracy & Disclaimer

While we use reasonable endeavours to ensure that Content is accurate, complete and up to date, it is provided “as is” and “as available” without warranty of any kind. You rely on the Content at your own risk and should obtain professional advice before making decisions based on it.

10. No Advice

The Content does not constitute legal, financial, tax, healthcare or investment advice. Mayfly is not authorised or regulated by the Financial Conduct Authority.

11. Limitation of Liability

  • Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot legally be limited.
  • Subject to the above, Mayfly shall not be liable for: (i) loss of profits, revenue, business, goodwill or data; (ii) indirect or consequential losses; or (iii) decisions made or actions taken in reliance on the Content.
  • Our aggregate liability arising under or in connection with the Site and these Terms shall not exceed the greater of £1,000 or the total fees paid by you for access to PICSy in the 12 months preceding the event giving rise to the claim.

12. Indemnity

You agree to indemnify and hold Mayfly harmless from any claims, damages, liabilities, costs and expenses arising from your breach of these Terms or misuse of the Site or PICSy.

13. Third-Party Links

The Site may include links to third-party websites. We have no control over their content and accept no responsibility for them.

14. Privacy & Cookies

Your personal data is processed in accordance with our Privacy Policy, which complies with the UK GDPR, EU GDPR and the Data Protection Act 2018. The Site uses cookies as described in our Cookie Policy.

15. Termination

We may suspend or terminate your access to the Site or PICSy at any time, with or without notice, if we believe you have breached these Terms.

16. Changes to these Terms

We may amend these Terms at any time by posting the updated version on the Site. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

17. Governing Law & Jurisdiction

These Terms and any dispute arising out of them are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, except that if you are a consumer resident in the EU you may bring proceedings in your local member-state courts.
